Terms of Service
Effective May 25, 2026
These Terms of Service ("Terms") govern your engagement of video production services from Steadfast Studio LLC ("Steadfast," "we," "us," or "our"), operated by Michael Boyd and based in Salt Lake City, Utah. By engaging our services, you ("Client," "you") agree to these Terms.
1. Services
Steadfast provides video production, post-production, and content creation services as described on our Services page. The specific scope, deliverables, and timeline for each project are defined in a written project agreement or statement of work provided before production begins.
2. Payment terms
All invoicing and payment processing is handled through Stripe. Payment terms are specified in each project agreement and are typically one of the following:
- Due on receipt — payment is due upon invoice delivery
- Net-30 — payment is due within 30 days of invoice date
Projects are billed on a milestone basis. A non-refundable deposit (typically 25–50% of the project total) is required before production begins. Remaining balances are invoiced at agreed milestones or upon delivery of final assets.
Late payments may incur a fee of 1.5% per month on the outstanding balance. Steadfast reserves the right to pause work on a project if invoices remain unpaid beyond their due date.
3. Intellectual property
Upon receipt of final payment in full, all rights to the deliverables specified in the project agreement transfer to the Client. Until final payment is received, Steadfast retains all rights to the work product.
Steadfast retains the right to display completed work in our portfolio and marketing materials unless the Client requests otherwise in writing.
Raw footage, project files, and working materials remain the property of Steadfast unless explicitly included in the deliverables.
4. Client responsibilities
The Client agrees to provide timely feedback, approvals, access to locations, and any materials necessary for production. Delays caused by the Client may result in revised timelines and additional costs.
5. Revisions and scope changes
Each project agreement specifies the number of revision rounds included. Additional revisions beyond the agreed scope are billed at our standard hourly rate. Significant changes to the project scope require a written change order with updated pricing and timeline.
6. Cancellation
Either party may cancel a project with written notice. If the Client cancels after pre-production has begun, the deposit is non-refundable. The Client is responsible for payment for any work completed up to the date of cancellation. See our Refund Policy for details.
7. Limitation of liability
Steadfast's total liability arising out of or related to any project shall not exceed the total fees paid by the Client for that project. Steadfast is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or revenue.
Steadfast is not responsible for delays or failures caused by circumstances beyond our reasonable control, including but not limited to weather, equipment failure, illness, or force majeure events.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives the completion or termination of any project.
9. Governing law
These Terms are governed by the laws of the State of Utah. Any disputes arising from these Terms or any project agreement shall be resolved in the courts of Salt Lake County, Utah.
10. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted to this page. Continued engagement of our services after changes are posted constitutes acceptance of the updated Terms.
